1. Grant of License

Licensor grants Licensee a lifetime, non-exclusive, non-transferable commercial license to manufacture and sell physical GachaPop 3D Printable Vending System machines using digital design files provided by HyBee3D LLC (“Licensor”).

This license permits Licensee to:

• Produce physical GachaPop machines using 3D printing
  
  

• Sell completed physical machines
  
  

• Sell assembly kits consisting of printed components
  
  

• Sell products at in-person markets, retail locations, or online platforms
  
  

This license remains valid for the lifetime of the Licensee or the continued existence of the Licensee’s business entity, whichever applies, subject to compliance with these Terms.

2. Scope of License

This Agreement applies exclusively to the GachaPop 3D Printable Vending System product family, defined as any official GachaPop machine, variant, configuration, or revision released by Licensor, whether existing at the time of purchase or released in the future.

This includes, but is not limited to:

• Size variations
  
  

• Cosmetic variants
  
  

• Mechanical revisions
  
  

• Accessory-compatible versions
  
  

• Updates or improvements bearing the GachaPop name
  
  

This license does not apply to:

• Entirely new product families
  
  

• Non-GachaPop machines designed by Licensor
  
  

• Experimental, prototype, or unreleased designs
  
  

• Products released under a different brand name
  
  

Licensor retains sole discretion to determine whether a product qualifies as part of the GachaPop product family.

3. Prohibited Uses

Licensee may not:

• Sell, share, distribute, or give away digital design files (STLs, OBJs, or similar formats)
  
  

• Resell or sublicense the designs in any form
  
  

• Claim ownership or authorship of the GachaPop design
  
  

• Mass manufacture products via injection molding, CNC machining, or third-party or overseas production facilities not owned and operated by Licensee
  
  

• Produce counterfeit or misleadingly branded versions
  
  

• Use the designs in any manner that damages or misrepresents the HyBee3D brand
  
  

4. Branding & Attribution

Licensee may:

• Advertise as an “Authorized GachaPop Seller”
  
  

• Use approved HyBee3D marketing language or imagery
  
  

Licensee may not:

• Imply partnership, ownership, or employment with HyBee3D LLC
  
  

• Represent themselves as HyBee3D LLC or as an official distributor beyond authorized seller status
  
  

5. File Access & Updates

Licensor will provide Licensee access to official GachaPop digital files via a private distribution method.

For Founder License holders, access includes all official GachaPop files and updates released as part of the GachaPop product family, subject to continued compliance with this Agreement.

Licensor reserves the right to update, replace, or remove files at any time.

File access may be suspended or revoked if this Agreement is violated.

6. License Verification

Each license includes a unique License ID.

Licensor may verify license status upon request. Licensee agrees to provide proof of license if requested by Licensor or by platform operators.

7. Revocation

Licensor may revoke this license immediately if Licensee:

• Violates any term of this Agreement
  
  

• Redistributes digital files
  
  

• Engages in fraud, counterfeiting, or license abuse
  
  

Upon revocation, all rights terminate immediately. No refunds will be issued.

8. Provisional Validity Pending Signature

This license is issued in a provisional state upon purchase and remains valid for seventy-two (72) hours from the Issue Date.

If the executed License Agreement is not signed and returned within seventy-two (72) hours, the license becomes inactive and unenforceable until execution is completed.

During any unsigned period, Licensor may suspend file access, revoke authorized seller status, and require cessation of licensed sales.

9. Transfer & Assignment

This license:

• Is issued to one individual or business entity
  
  

• May not be transferred, resold, or assigned
  
  

• Does not automatically extend to employees, partners, or third parties
  
  

Licensee may use employees or assistants under their direct control to manufacture licensed products.

10. No Warranty & Limitation of Liability

Designs are provided “as-is.”

Licensor makes no warranties regarding fitness, print success, performance, or profitability.

Licensor shall not be liable for any damages arising from manufacture, sale, or use of licensed products.

11. Governing Law

This Agreement is governed by the laws of the United States and the State of Texas.

12. Founder Status

This is a limited Founder Edition license.

Once all Founder licenses are issued, lifetime licenses will not be offered again.

13. Acceptance

By purchasing this license, Licensee acknowledges and agrees to these Terms and understands that execution of the License Agreement is required for continued validity beyond the provisional period.
